1. Acceptance of Terms

Welcome to QuoteLicense. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and QuoteLicense. We reserve the right to update these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

2. Description of Service

QuoteLicense is a SaaS platform that provides AI-powered tools for UAE business setup consultants, including:

• Automated quote generation for UAE freezone company setup
• Client relationship management (CRM) tools
• Document management and AI-powered document analysis
• Pricing calculators and package customization
• Business setup requirement intelligence

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

3. User Accounts and Registration

3.1 Account Creation

To use QuoteLicense, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

• You must be at least 18 years old to create an account
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access
• One account per user; sharing accounts is prohibited
• You must not use the service for any illegal purposes

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem harmful to our service or other users.

4. Subscription and Payment

4.1 Pricing Plans

QuoteLicense offers multiple subscription tiers (Starter, Professional, Enterprise). Pricing is displayed on our website and may be updated from time to time. Current customers will be notified of price changes at least 30 days in advance.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• All fees are in UAE Dirhams (AED) unless otherwise stated
• Payment is processed automatically via your chosen payment method
• You authorize us to charge your payment method for recurring fees
• Failed payments may result in service suspension

4.3 Refunds and Cancellations

• 14-day free trial available for new users (credit card required)
• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused portions of the service
• Enterprise (one-time payment) purchases are non-refundable after 30 days

4.4 Taxes

All fees are exclusive of applicable taxes (including UAE VAT). You are responsible for paying all taxes associated with your use of the service.

5. Acceptable Use Policy

You agree not to:

• Use the service for any unlawful purpose or in violation of any regulations
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use automated systems (bots, scrapers) without permission
• Upload viruses, malware, or malicious code
• Reverse engineer, decompile, or disassemble the platform
• Resell or redistribute the service without authorization
• Violate intellectual property rights
• Harass, abuse, or harm other users
• Submit false or misleading information

6. Intellectual Property

6.1 Our Content

All content, features, and functionality of QuoteLicense (including but not limited to text, graphics, logos, software, and design) are owned by QuoteLicense and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of all content you upload to QuoteLicense (client data, documents, quotes). By using our service, you grant us a limited license to use, store, and process your content solely to provide the service.

6.3 AI-Generated Content

Quotes and content generated by our AI tools are provided to you for your business use. You are responsible for reviewing and verifying all AI-generated content before presenting it to clients.

7. Data and Privacy

Your use of QuoteLicense is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy.

You are responsible for ensuring that any client data you enter into QuoteLicense complies with applicable data protection laws and that you have obtained necessary consents.

8. Disclaimers and Limitations

8.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

8.2 Accuracy of Information

While we make reasonable efforts to ensure accuracy, QuoteLicense does not warrant that:

• AI-generated quotes are error-free or complete
• Freezone pricing and requirement information is current
• The service will meet your specific requirements
• Results obtained from the service will be accurate or reliable

8.3 Not Legal or Financial Advice

QuoteLicense is a tool for business consultants and does not provide legal, financial, or professional advice. You should verify all information and consult with qualified professionals before making business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, QuoteLicense and its affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Errors or inaccuracies in AI-generated content
• Actions of third parties or external services

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless QuoteLicense from any claims, damages, losses, liabilities, and expenses arising from:

• Your violation of these Terms
• Your use or misuse of the service
• Your violation of any third-party rights
• Any content you submit or share through the platform

11. Third-Party Services

QuoteLicense integrates with third-party services (OpenAI, Supabase, Upstash, payment processors). Your use of these services may be subject to their respective terms and conditions. We are not responsible for any third-party services or their content.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or your use of QuoteLicense shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the platform. Your continued use after changes become effective constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
